This is 2 questions in one....I am (was) the secretary of our newly owner take over HOA. At our take ove meeting the members voted on five(5-4 board/1 director) BODs. Ater just 3 monthes the President, treasurer and the director resigned. The V. President moved herself up to President, recruted a new treasurer and I remained the secretary. We have remained only three(3)even though I have ask the President to recruit the other two volunteers. What I'd like to know is aren't we suppose to keep the initial five (5) member Board at least until our annual meeting and at this time it can be changed to three(3) if thats what the members want. I personally feel five to seven is best, the more opinions the better. If you have two that stick together like glue then the third Board member doesn't stand a chance in an election....Next question: Do to a disagreement in HOA business, I later resigned also. Both remaining Board member e-mailed me and ask me to pleas not do this, they needed me. After thinking about it awhile I e-d back and withdrew my resignation. I then received this e-mail: "Let me address a couple of things so we are clear before you return to the board." First I was ask to remain on the board, I withdrew my resignation and now I am given an ultimatum. So am I on the Board or not. Would they have to do a recall or what?

Sidney - Your documents should spell out the number of board members required. Ours has a maximum of five and minimum of three.
I'm not sure why you would want to rescind your resignation on their terms. You must have resigned for a reason, and if you go back it should be on your terms - not theirs. The two remaining already have the majority they need, but I think they need you to fill the board's body count and to do the secretary stuff they don't want to do. Harold

Sidney, the total number of Board members and how they are elected or appointed is defined by the By-laws. The By-laws can be changed by a duly called members meeting at which a vote is taken on amending the By-laws. Any board member can chose to resign at any time so you now have three like it or not. If you are allowed five board members then the Board can recuit and appoint up to two more.

If you resigned and then rescinded your resignation and it was accepted then you are back on the Board. No ultimatum is appropriate nor do you have to agree with it.

Harold...you're right I did resign for a reason. It very well may have been childish on my part but that is not how I felt. Our MC gave us a 30 day notice that they were dropping us. There were many reasons for this which I understood in away. (another story) A new MC was voted on. I received an e-mail from the President saying she was picking up all the files and was taking them to the new MC. I e-mailed back and ask her to please keep the files so we could look over them first(it was a long Holiday weekend). It just so happened that I was having out of town guest coming in Sat morning so I ask if I could have the files Friday, as both of the other Board members would be working. They would both be off Sat, Sun. and Monday and they both live in the subdivision, I do not. I was told by the President that she would keep them but I would have to come there, she didn't want them moved all over the place. As it turned out she let the treasurer take them to her job (because her boss was going to be out of town Friday) so she could copy what she wanted on his time and paper. So much for keeping them in one place. This hurt me because I know how much I have done for this association, because I had the time (an old broad w/nothing else to do)and did all the meetings with vendors and MC(things that weren't even my job) that they didn't have time to do. As I said it may have be childish on my part but I felt my request wasn't asking to much, after all I was the secretary and I was suppose to be keeping the files anyway. I am the one who had gone to the MC and sit there 3 hours going through files when we first took over and found all the delinquint accounts that had not been acted upon. Even after going there and finding many files missing I wanted to see if others had turned up in the turnover....It does say three(3)in the docs but we voted for five(5)at our take over meeting and five was elected. I just assumed that we needed to keep the five(5) until our annual meeting. I was willing to stay because I know the association needs me. And as I said I'm an old lady who has plenty of time to give and have and will give gladly for the good of all. It is for my benefit too because it gives me something to do w/my time. I did not answer the last e-mail because it had some untruthful statements and I saw no point in just keeping this matter going. I had stated in my last e-mail, that I was still hurt by what she had done but what was done was done and it is over....I in turn have never heard another word from either of them. I don't know if I'm in or out.

When I resigned, I only got the e-mails asking me to please stay, to reconsider (quote:"At this time, I do not wish to accept this resignation). I thought about it and I withdrew my resignation and then I received the e-mail about the ultimatums. I never replied and have never heard from them again. So I'm assuming that even though they ask me to stay they added terms which I didn't respond to so I'm out? They never actually said ok, you're back on the Board.

Sidney - You don't even live there? Surely you can find something better to do than to give so much of your time and be treated like that. Volunteer at a hospital or hospice where your time will certainly be well spent, rewarding and appreciated. Let those two find someone else. Harold

Harold, I have done volunteer(probation office @JC, red cross, at the prison work release, etc.) work my whole life plus work and raise 6 children. I have had arthritis since I was 17, I am now 70 and very crippled with this plus have diabetes. My health is very bad but I am just one who needs to keep busy if I can. I had to give up those volunteer jobs because I never know how I will feel in the morning and I can't have someone depend on me and I not be able to show up. I also had my 94 year old mother move in after my dad died last year....We bought the place as an investment. It has been empty for a year but we keep it beautiful, all utilities on. I saw what some of the hurricane people did to others property(live in Pensacola, Fl) and chose rather to leave it empty for awhile. We let our guest stay there for now. My husband and I have gone over there and did landscaping(weeding, pruning trees and bushes, cleaned around the over grown lake) 3 times in the common area, things the developers MC didn't do or the HOA after we took over. I do it because I am an owner, though I don't live there. I do still have an investment in the property. I truly though I could make a difference but looks like I'm being pushed out. My problem is I want the HOA to be run according to all the Docs and rules, enforce everything and lets change the stupid things that have been placed in there. We only have 77 units but unfortunately I would say better than half are rentals. This does make things very hard. I just need to feel I'm still useful in some way.
