I am a current board member for an association in Illinois. I was told by the property manager that it is her legal job to set the agenda for the monthly meetings. Myself and other board members would like to start setting the agenda for the monthly Association meetings instead. Who has the legal right to do so?

Kevin, it is likely your authority, as part of your role as the board of directors.

The management company is not a member of your organization, so likely has not legal jurisdiction to do anything that the board does not direct it to do.

Simply inform the management company that the board will provide the monthly agenda, and the management company is allowed to provide input if it so desires, as long as the input is received by XXX days prior to the meeting so that it can be considered by the board when drafting the formal agenda.

Kevin, I've always found it handy when someone states "it's the law" or "I'm legally required to" to ask them to show you the law.

The Board, unless the Bylaws state otherwise. However, that job is often given to the PM or the President.

Check your States corporation/non-profit (non-stock) corporation laws as well as your governing documents, prior to setting the agenda. Most, if not all, have some requirements for the agenda. These are minimum requirements. Therefore, as long as the agenda has the minimum, it can also include additional items.

please inform your property manager that an agenda item be added to the next meeting. the item is:

the firing of the old property manager and hiring of a new property manager who doesn't pull crud out of their butt and pass it off as "rules"

Tell them it will be a short topic, 1 minute tops.

then, as suggested above, ask the property manager to provide evidence of their claim at the meeting where this topic will be discussed.
