We're an 86 unit condo in NC. Our annual meeting is 4 Jun. Three new directors will be elected to join 1 treasurer and 1 member at-large from the old board.
Our organizational meeting is to be held within 10 days from the annual meeting.
My questions: 1)Who is responsible for scheduling this meeting?, and 2) Who will initially chair this meeting while officers are elected?

The people who are elected should get together after the annual meeting, exchange contact info and schedule a time to meet within the 10 days. Ideally, the old Board should be in attendance as well (to turn items over) but that doesn't always happen.

Typically, the initial running of the meeting should be done by one of the old members. If the entire old board is present (or if just the old President is there), the previous President should preside until thier replacement is appointed.

Rarely is there any real business conducted at this meeting as new people are just finding out what is happening. However, if the old Board is organized enough, they should have prepared a list of items that are needed to be done and the new board can act on or table the items as they see fit.

We have always had it immediately following the annual meeting. Our docs state the president is charge of all meetings.

Although your docs state this meeting must be held w/i 10 days of the annual meeting, it would be a good idea to hold it immediately following the annual meeting so that another notice is not required to be sent out to announce the meeting (for states that have open meeting requirements). That way all the board members will be present along with any new members elected to the board. All the members of the outgoing board should be at this meeting which would be chaired by the Pres. who chaired the annual meeting. The Sec who took the minutes of the annual meeting would take minutes of this organizational meeting. After the elections are over and the meeting adjourned then the newly elected officers will assume their positions. IMO, no other "business" should be conducted at this meeting. This is an organizational meeting for the sole purpose of electing the officers of the BOD and an opportunity for outgoing board members to turn over assn records they may have in their possession.

For the sake of having the new Board in place immediately in case of an emergency, our documents say that the organizational meeeting is held following the annual meeting or election. Why wait for 10 days.
Think about this, who would call the meeting as there is no President.

My thanks to all that posted. Since our docs are very vague on this issue, I believe we'll try having the meeting immediately after the annual.

Only problem will be getting the old board to stay in place long enough. The only thing they want now is just to get out of dodge......I realize we can have the meeting without them. Maybe one of the board members that has another year will volunteer to chair the meeting.
