Our office manager prepares and delivers the packets for each board member the day before the board meeting. These packets include the agenda, the minutes from the last board meeting, financial reports and any other pertinent items such as notes or recommendations from the ARC committee. Some of this information is intended only for the board..e.g. a member complaint about another member, etc. Our board meeting was today.

Three of our board members had their own meeting with a select group of members last night before the board meeting - to plan their strategies for the next day (their goal is to recall the remaining 4 board members and run the show).

At the board meeting today, the 3 board members had either made copies of their packets themselves or allowed a member at their meeting last night to make copies and distribute them (including the non-approved minutes from the last board meeting) to all the members present at the board meeting.

Is this legitimate??

Where would I find the rules on something like this?

When your three board members gathered with regular members, they wore their general member's hats. They had no board power could not make any decisions of the board. no motions, etc could be entertained, no official action taken in the name of the HOA.

Apparently they ( a group of members) were planning a coup.

Not sure what you mean about copying the packet of info for the meeting.

Be careful what you call a "meeting".

3 out of 7 is not a quorum, anyway. It was a gathering.

Their only power will be revealed during a Board meeting. but it sounds like there are 4 other votes to counter any motion made by the rouge 3.

Copying pieces of paper that are NOT even accepted as part of the official, approved minutes of the meeting is not a crime. Sounds like it's more confusing than anything else.

Your president needs to have control of the Board meeting. Board authority must be demonstrated at this time.

Giving confidential documents to unauthorized people is a breach of fiduciary responsibility. The Board would have grounds to sue the errant Board Members and insurance might not protect them.

I would tell the errant Board Members this.

If this is the Timberline Rim HOA, it won't do much good because the coup planners are a bunch of idiots, anyway.

I found the three members meeting ominous, if you are under attack by someone. I expect there is a fourth waiting back stage to meet a quorum and take over this Board. Strikes me as a formidable challenge, and who is to say who is wrong or right, but control is four members. If this does not come to pass, it is going to take some powerful give and take to get back on track. A sad situation, it is difficult enough to run things well with a strong consensus, almost impossible with a 3 to 4 ratio. You would think they are the Supreme Court.
