Hello All,

I have a situation where one BoD member has a conflict of interest. It is in regards to contractor performance and as luck would have it... this person shares a church with this board member. Or perhaps this is how this contractor go their job? The board member defends the poor performance with "this is a fellow Church member and great person". "I want to know the contractors side of the story".... Ummm... huh?! Since when do we need their side of the story regarding their lack of perfomance?

As a fellow board member, what can I do to call to the floor this conflict of interest? The challenge is this board member is extremely insistent (bully) to be apart of any "decisions regarding this contractor". Its starting to get really tense and this person is bullying the other board members.

Sorry, I don't see a conflict of interest, based on what you've shared.

And, for the record, I would always want to know the contractor's side of a story if there is an issue.

Why would you not want all available information?

By placing trust in only one side of the story, aren't you doing the same thing you are accusing the other board member of doing?

And it's pretty sneaky to get in a gossipy dig regarding their sharing a church membership as implying that's how the contractor got the job.

Also, I think the other board members are likely mature enough to be able to stick up for themselves if they feel bullied. If they can't then maybe they should rethink their commitment.

Which begs the point, if the other members are getting tense and feeling "bullied" about it, why would you feel it to be your place to bring anything up at a meeting on the floor?

At any rate, based on what you've shared so far, there does not appear to be any conflict of interest so it would likely NOT be in your best interest to bring it to the floor.

Maureen, the issue is contractor performance. It has no bearing that a Board member supports the character of the contractor. There is no conflict of interest so forget that argument. However, if the contractor is not complying with their contract, such as substandard performance, then you have every right to bring this discussion before the Board. You can do this by making a motion to terminate the contract for failure to perform under the terms of the agreement.

Like others said, a Board Member going to the same church as a contractor is not a conflict-of-interest.
