Can anyone tell me specifically what are the duties of the Management Co.? Ours makes a "recommendation" and then a Board Member says "Whatever he said, I make it a motion" and then another Member "seconds" it. It's almost as though he is a "Member." Is this action legal?

As a board member you are entitled to have a copy of the management contract. Read the contract, which will spell out the duties that have been contracted for.

Management's role is defined in the contract, but every board usually asks their advice or opinion. Sometimes they ask the manager for an opinion on things they shouldn't, like a legal opinion, in order to avoid some attorney costs. But, there's nothing inherently wrong in the manager speaking up, after all, they should know more about association operations than a volunteer board. That's one of the reasons they were probably hired.
