Annual Election of Directors Question

At the yearly election of directors for our FL HOA a quorom needs to be present(30% of homeowners present or by proxy). The president opened then adjourned the meeting right at 7pm so new election could take place. Is that illegal? We had enough people by 7:30 coupled with proxies too.

You need a quorom (30% of the homeowners by proxy or in person) to conduct business (i.e. vote that night), but the proxies can't be counted to vote in the annual meeting. You can only vote in person.

Explain how the meeting can be opened if a quorum was not met. That means no meeting can be opened. Explain how a new election was held. You have to notice a new election also and you can't do it at the closed meeting. When the meeting is closed because of lack of quorum, all that can be done is to close the meeting citing the Procedure from your documents. Most likely it will say the adjouned meeting will be conducted at another time and a new election will be announced.

Your question about was his actions illegal? I suspect "illegal" is not the proper term and why you ask that question suggests you have a personal intent for revenge or some court action. Hire a lawyer and pay the money for legal advice.
