We are about to have our annual meeting and vote in 2 new board members. Do the 3 board members with the 2 yr term keep their positions or are all 5 positions voted on again?

Barbara, Board members serve for their term and if the 3 have served one year then they are on the Board for another year. You only vote to fill the 2 vacancies caused by the end of the two Board members who's term has expired.

Could you provide more info? Are your board positions staggered 2 year terms and 2 are expiring? Were you short 2 positions but normally all 5 expire the same year? Or are you referring to Officer positions such a Pres, Sec, Treas? The answers to these questions probably depend on the way it is written in your docs.
If you could provide more info, it would help.

Don't all board members have a 2-yr term?

The board should keep track of when each member was elected and when their term will expire. Only those whose terms are expiring would be up for re-election. If all 5 board members were elected the same year, then all of them would be up for re-election in the same year.

Sorry I guess I didn't explain it clearly. I'll try again.

They are staggered terms. Wahat I am referring to are the officer positions(prez,vprez,etc) The president is remaining,the vice president is off,treasurer off, secretary and director remain.
Do the president,director and secretary remain in those positions or do we vote for those positions again?

Barbra generally unless your documents state differently then all of the officer positions become open and the newly elected Board decides who will hold which office. Therefore the president could remain president if the Board decides. This is from our documents:

Section 2.5. Organization Meeting. Immediately after each annual meeting of members of the Association, the newly elected Board of Trustees shall hold an organization meeting for the purpose of electing officers and transacting any other business. Notice of such meeting need not be given. A meeting of the Board of Directors may be held by any method of communication, including electronic or telephonic communication, provided that each member of the Board can hear, participate, and respond to every other member of the Board.

In our POA the members elect the board. The board then elects the officers yearly. Also, in our POA, other than the Pres, the officers don't have to be board members.

So you are talking about the various officer positions held by board members. IMO, it's up to the board to determine if those positions are held throughout the member's term of office or are to be voted on each year. In my assn the officer positions are held throughout the member's term of office unless something changes to warrant a repositioning of positions. For ex: the director who served as V.P. decided not to run for re-election and a new director was elected. The member who had been serving as Sec was elected by the board as the new V.P. and the incoming board member was elected as the Sec.

I am assuming if I am the president and I have been voted in for a 2yr term then I remain president for the 2 years. Is this correct?

Mary, read your HOA's Bylaws. Usually the Board members elect officers annually at the first Board meeting following the annual association member meeting at which your HOA elects 2 Board members one year and 3 Board members the next year.

Correct. Officers can serve for their two-year term OR until the BOD decides otherwise. "until their successors are elected", means elected by the BOD not the membership.

I know what my bylaws say: Officers are elected by the BOD at the first meeting immediately following the annual meeting of the members. It also says officers shall hold office until their successors are chosen and qualify. So, if the board does not want to make any changes they do not have to. The same board members can continue to serve in the same capacity for the following year.

Although our board elects officers yearly, Like Mary's, our officers sometimes remain the same. Especially the role of President. No one here really wants the responsibility.
