If some board members violate civil code, such as election or conflict of interest, is there a process for the board to investigate the matter and discipline them? Would the offending members be excluded from the fact finding effort? Are there alternative processes?

How would you "discipline" a volunteer board member? Slap them on the hands?

Either remove the member from the board using your governing documents or have the president talk to the person about his/her errors and request a resignation - OR forgetaboutit.

I agree with Susan, talk to them or remove them from the Board as per your docs.

I believe if a board member is breaking Civil Codes, they must be forced to resign from the board. You can't enforce rules and regulations when you are caught violating state laws.
