Community of 167 Townhomes, in Private Community. Nine Board Members.
Been here before, but have never seen a post as the one I am addressing.
Two of our members have not been to a meeting for the past three months. I thought I heard, or could have imagined somewhere, if you missed three meetings in a row, you were kicked off the board.
Checked the CC&R's, but found no mention.
Anyone know if policies exist on this???

James, if it's not in your governing documents, then it doesn't apply to your board.

Some corporations have policies similar to that. Some don't.

If it's only 2 members MIA, then it probably doesn't affect quorum, so . . .

But it might be something to bring up during election time so that the residents can vote in directors who will actually attend meetings.

For the record, we have a policy that if there are 3 unexcused absences, whether consecutive or not, or 6 absences, excused or otherwise during the calendar year, then the board can remove the director and appoint a replacement.

To be an "excused" absence, the board member has to notify the president of his or her absence at least 24 hours ahead of the meeting, unless there is an emergency situation.

The reason for this is so that we can know: 1) whether we will have a quorum, and 2) if no quorum we can set a new meeting date.

It also allows us to replace the board member with a person who has not over-loaded their commitment plate. If someone misses 6 out of 12 meetings, then perhaps that person should have considered not stepping up to the plate at this time.

Check your governing documents. They may provide something like "The Board shall the power to declare the office of a member of the Board of Directors to be vacant in the event such member shall be absent from 3 consecutive regular meetings of the Board of Directors." (This is in our By-laws, not the CC&Rs).

As a practical matter, is someone else clamoring to get on the board? If so, maybe the president can persuade the missing members to reign. If not, maybe you live with the situation until their terms expire.
