My question is how do we determine the proper number of directors for an HOA? Is this based on the size of the community? What is the general rule of thumb, if there is one. Or is this just an arbitrary number set initially by the Declarant?

I believe that your CC&R’s should state precisely how many directors an association should have.

In my community, we don’t have any directors. We only have the three elected positions (president, vp and treasurer). I’ll continue looking, because I believe someone had posted what was a general recommendation depending upon the size of the association.

Our By-Laws do state that there are 3 directors. However, the Declarant has operated with 5 from the beginning. Now, however, that has been called into question, so we're faced with having to do our election over and reduce our numbers to 3. But at some point, I'm told the Declarant decided that based on the size of our community, 5 was the appropriate number. The hand off from them to a board completely made up of homeowners was just this past June. Now, with all the other issues we're facing, we have this. The hand off was not clean.

So I'm seeing. Now, if I want to change the number of directors, what guide, rule of thumb etc. will help me determine how many additional directors to establish. Currently, our community has about 260 homes, and is will top out at about 450 homes. Is it one director per 50 homes, per 100 homes, or no such guideline exists?

There are no hard and fast rules. Most associations run from 3-9 board members. Looking back at the associations I've dealt with, they generally broke down something like this:

50 units or less - 3
51-250 5
250-750 7
750+ 9

Variations depended on whether they were condos or HOA's (condos demanded more attention and tended to have more board members); whether there was professional management (reduced the work load so association could get by with fewer board members); interest - I tend to like larger boards because they represent a wider cross section of owners and meant that more people were involved and informed; apathy - there's no point having 9 board members if you can only get 5 to run every election.

You can always adjust the number by amending your documents, or you can add by appointing people who aren't board members as officers (Treasurer and Secretary are usually officer positions that a lot of documents don't require to be board members).

For you probably 5-7 would work. You amend the section that sets the number of board members, using the amendment procedures that should be in the documents.

That's what I was looking for. Thanks very much. I also heard from another source giving the same figures for a community the size of the one I'm a part of. Now if I can just survive the Special Meeting and remain on the Board of Directors, I'll see that this is done. Thanks!
