We have a 5 member board. Our secretary tends to put her own spin on things when we discuss what should be put in a memo to others repesenting the board but, she adds her own opinion or worse, things that should not have been put in the memo.
Recently our chairperson seemed to have an issue every time we had a meeting.
Either she was sick or was unavailable. This became a concern since these were very important meetings. We managed without her but as a group we are concerned. We decided to send the chairperson a note expressing our concern about her health and that her presence from the last 3 meetings was noticed and that we had a budject meeting comming sooon and hoped she would be there. Well secretary included a spin that if i had read that letter i would have done just what the chair did RESIGN.The very next day after this fisco the secretary (after a good Blasting) promised not to send anything out before it was reviewed by the rest of the board. WELL the next day she she was to send a copy of a letter we recieved from our new lawyer regarding an issue to our property manager. She on her own added parts of a conversation parts of the issue we talked about part of the resolution of the issue. In other words she is all over the place. I told i did not appreciate the way she is going about sending memos that the board has not approved. What if any suggestions might you have because it has come to the point that the remaining board members do not want to speak infront of her.
I am up for reelectin next month and although i enjoy being a part of this board, i dont think i could do another year with her.
ANY SUGGESTIONS ON HOW TO DEAL WITH THIS PERSON

Your bylaws probably show how to go about replacing her.

Appoint someone else to be the secretary, if your by-laws allow you to do that. She can still be on the board. Or at least take away that "duty" of her writing memos.

Her editoriazing these memos and letters could put your HOAin legal liability. Put a warning - in writing - to her (so you have an official warning) and if she does not button up, then replace her.

Perhaps you need a corresponding secretary that can keep things more business-like.
