Traveled from Florida to North Carolina for our annual meeting, which was scheduled for July 11. The pres. vp, and treasurer were AWOL, the only officer attending was sec. and others were not full time residents. No cancellation was recieved by anyone. This is also our election meeting. I have been on our HOA board for 4 yrs in Fl and this is very much against rules. Is it different for NC?

So the secretary could have presided over the meeting (you don't mention if there was a quorum, which was necessary to conduct business)

This is the MEMBER's meeting - not a board meeting. As regular members, they (board members) missed the annual meeting. Everyone else should have gone on without them.

Betty, if there was a quorum present the meeting should have been held. The Secretary chairs the meeting or if necessary the members present could elect a member to chair the meeting. If a quorum was not present the members present could determine when and where to hold the meeting at an allowed future date. Unless proper notice is given an annual meeting can not be held and can not be cancelled.

Thanks for the replys. A quorum was not met, letting us do no business, and absent board members had proxies. I guess I'm just venting over unproductive time and money spent trying to do the right thing and attend our annual meeting. I am not familiar with NC hoa statutes, but even if an emergency is the reason, telephones still work in the mountains, and the internet.

Here in NC if there is no quorum of not only the members but there needs to be a quroum of the board as well. Your Secretary was right to not call the meeting to order. I am so proud of you to travel from Fl to NC for a meeting. Wish more off-site owners were like you.

Why must a quorum of the board be present at a meeting of the owners? Is this really stated in your bylaws? All the board members are members of the assn so their presence would be counted toward the quorum.
