Does this mean that you can vote with only the officers present? Does all the Board members have to be there? For example we have Pres., Vpres.,secretray, and treasurer, along with 3 additional board members. I assume this would mean that there are 7 board of directors and 4 officers. Can the Board of Directors remove the secretary or the Home owners only.

If the board elected the secretary, they can remove her from her secretary office. But if the homeowners elected her to the board of directors, the board cannot kick her off, UNLESS your governing documents specifically give them that ability.

Sounds like your board members elect their own officers.

A quorum of the board should be in session for the vote to remove the Secretary.

Your bylaws should give the reasons for removal of an officer. That person then becomes a director of the board. You will then have to hold another election for the Secretary position.

A quorum for a 7-member board would be 4, so a meeting could be held with only the officers present. However, every member of the board should be informed of the meeting.

As others have said, the BOD can only remove a director from an officer position; the members must remove a director from the BOD. So, yes, the Sec can be relieved of her duties as secretary; however the board cannot do anything about a member-at-large as they do not hold an officer position.

Some governing documents allow the Board to remove a person from the board of directors (even though elected by the homeowners)if the board member is absent from X number of consecutive meetings. Our docs allow removal if a board member is abesent for 3 consecutive regular meetings. As in most if not all things discussed on this Board, check the governing documents.
