What recourse does a BOD have if other BODs are meeting without including them?

If no votes are taken I don't see it as a problem. Don't you have specific times on when the full board meets where votes and minutes are taken?

Probably an illegal meeting according to your State laws and own documents. Call them on it at a Board meeting, let them know face to face, and if all else fails, you can just let the members know that the Board is acting inappropriately. I certainly would get in their faces and let them know that you are also a Board member and as such, you are to be included in all meetings. Shame on them.

We have a monthly meeting, however there was a breakdown after the annual meeting because I wanted the PM to review contracts and look at the finances. Long story short one of the officers asked that I be removed as President. It took him 2 meetings to finally convince 3 other board members that I wanted to "get rid of" the PM and vote me to Member at Large.

I found out that the three board members have been meeting and making decisions without two of us. I am having a challenge finding out where it says it is illegale to have the meetings. In our bylaws it just says that two or more make a quorum.

This is so frustrating that people act like children. I will bring it up at the next meeting if it doesn't get resolved before hand.

Have you thoroughly researched your bylaws to find out if there is a provision regarding noticing meetings? The State law -- RCW 64.38.035 states all board meetings are open to the members which means they must be noticed.

As Donna suggests, I would bring this issue up at the next regularly scheduled meeting. Advise the board members that you don't appreciate not being informed of ALL the meetings taking place and that if this practice does not stop you will be obligated to inform the membership. Since the membership has a right (granted by state statute) to attend all meetings, if you aren't being informed neither are they. Hopefully the other board member who is being left out will stand up with you.

They cannot "conduct business" unless it's at a duly called meeting. So no decisions or money can be spent at these "meetings" you describe.
