Is it ok/appropriate for a Board member to also serve on a committee? We have a homeowner who does a great job on our ARC and may potentially run to be on the Board. We have very little homeowner participation and may not be able to fill his spot on the ARC.

I do not see that our CC&R's or Oregon law prohibit serving on the Board and a committe simultaneously, but just want to confirm.

I understand it is not an ideal situation, but is preferable to losing one of our 3 ARC members!

Many times there are board members who sit on committees. When they attend committee meetings, they have no special status and are often not even the chairperson of the committee. Yes, they can wear two hats.

How was this person placed on the Committee?

The fact that you asked has me wondering if your ARC Committee is independent of the board.

This is not unusual at all, in fact in some assn's a board member serves on all committees and serves as the liaison to the BOD. Check your CCRs and bylaws; a board member may be required to serve on certain committees. I don't understand why you would think this is not an ideal situation. All committee members serve at the leisure of the BOD; all committees report to the board and none, except perhaps the ARC, can perform any actions on their own.

The Board asked for volunteers to serve on the ARC. The ARC acts in an advisory role only.

I was the ARC Chair and The Board Secretary for my community. The only problem that may occur is when the Board needs to make a decission on an ARC issue, such as; violations, fines, over turning a denial...
I turned my Chair position over and became the Board Liaison to the ARC. I went to meetings and stayed active. I started the ARC in my neighborhood, it was my baby.
Most ARC issues were handled in closed session of the Board meeting (because of personal information). We were very careful to document my role in the decission of each case. I couldn't be the judge, jury and executioner. So, I would present the case and if asked by other Board members, I would share my knowledge to help determine the decission.
As far as Robert's Rules, to abstain from voting (because my vote counted as Secretary) it's like having a vote "no". I would vote and disclosed all information in the closed session notes.
It could be a slippery slope, becareful and document everything.

Since the ARC act only in an advisory role, I see no reason why a board member cannot also serve on this committee. Even when the ARC has more power, I don't see a conflict. The ARC in my assn has the power to approve or deny requests w/o BOD input. Our Treas serves as Chair of the committee and there have never been any problems. Our PM also serves on the committee.

Actually we intentionally place a Board member on the ARC. Quite honestly, I think that this is one committee in which the BOD should always at least have an observer. It is just too important to not do so.

Even if the member plays an active role, they are a single vote in the main Board. In our case it represents one of five votes.
