Has any person in this forum experienced by-law amending followed by a vote of the membership (up or down vote)
with proxies submitted and counted as part of the up or down vote?

Do your governing bylaws allow for Proxy voting? Are they restricted in any form such as "to be used for establishment of a quorum, and elections," etc? They can be used by the Proxy holder to vote for anything if the governing documents allow for it.

Article IV - MEETINGS OF MEMBERS

Section 1: Annual Meetings
Section 2: Special Meetings

Section 6: PROXIES: A member entitled to vote may vote by proxy executed in writing
by the member. All proxies shall be in writing and filed with the
Secretary of the Association. Any proxy given shall be effective
only for the specific meeting for which originally given and any
lawfully adjourned meeting thereof. In no event shall any proxy be
valid for longer than ninety days after thedate of the first meeting
for which it was given. Every proxy shall be revocable at any time at
the pleasure of the member executing it.

Okay, the proxy, if properly filled out and filed with the Secretary, may be used in any manor stated by the purpose of the meeting. I say then YES, it may also be used for amendment meetings. If it was not allowed to be used for amendments, it would specifically state so.

"Up or down" voting is unusual for a bylaws change. What does that mean? Yes to change it, or No against the old or to make the change? Confusing.

The proposed MOTION is to amend the bylaw. State the amended wording and count the YEA votes to pass the motion.

That is the decision up for vote.
