I a m a little confused as to what the diffrence is.

Basically the BOD sets policy and enforces rules while Officers (often on the BOD) have specific duties. The ByLaws should list the powers and responsibilities of both classes. Typically, the BOD is elected by Membership while Officers are typically chosen by the BOD.

Okay so maybe we are doing it wrong. We have our BOD which consist of a president, vice pres, treasure, sec.and PR director. The 5 of us make up the board. Should there be more BODs? Are the other BODs just there for a vote?

Your Articles of Inc or Charter (whatever yours is called) will spell out who your Board consists of. From your post, your Board is made up of 5 members, The President, Vice President, Treasurer and Secretary are most likely Officers. The P.R. person might be considered just a Board member. All 5 of them will have voting rights. It's all in your documents. NO! why would you want more Boards. One is usually hard enough to keep running an association.

Your docs will tell you how many members are required for the BOD. They still get an equal vote whether or not they also hold an officer post.

Think of it this way: The BOD is like the Senate: a bunch of elected people supposedly placed with power to do certain jobs. Within the Senate, there are certain duties, like Majority Leader, Minority Leader, President, etc.. those are the Officer positions within the Senate, just like President/Sec are officer positions from among your board.

Most HOA's, however, don't seem to have very many "extra" BOD members past what they need to fill the required officer positions, perhaps just one or two extra people.

Unless your bylaws state differently:

1) the members elect 5 members to serve on the BOD
2) from those 5 elected board members, the board elects the officers, i.e. Pre, VP, Sec & Treas
3) the 5 board members are actually the directors and 4 are also officers
4) the BOD is only one group of 5 elected members

Just to muddy the waters, I will add that our ByLaws and from what I have seen, a number of HOAs who seem to have the same author, the officers don't even have to be members of the board. Also, depending how you read the actual statement, some might even say the officers don't have to be members of the association - there is no statement to that being a requirement.

This just points out the need to do what every topic in this discussion forum states, read your rules and laws.
