We have not had a quorum in a 5 years and the current 5 board members have all been appointed. I was wondering how many positions should there be to vote on this year? According to the property manager she said that only 2 are available. She said that the three board members who ran last year are filling two year terms even if we did not vote them in. If they were not elected how can they be filling terms? Our CC&R's do not say anything other than appointed board members fill to the completion of the term or until the election.

If they were appointed last year to fill a 2-yr term vacancy then they would still be in office this year, right?

We had one board member that was appointed to the board after the resignation of a director,and she is still serving(almost 3 yrs later) and she has NEVER been voted for. Another member decided to stay on too for another year and he was NEVER voted for either.Manager said they were both serving a 2yr term.

"An election shall be held at which the class "A' members shall elect the fivwe directors, with the two directors receiving the largest number of votes being elected for a term of two years and the remaining three directors being elected for a term of one year."
"In the event of the death,disability, or resignation of a director, the board may declare a vacancy and appoint a successor to fill the vacancy until the next annual meeting,at which time the class "A" members entitled to fill such directorship may elect a successor for the remainder of the term. If they fail to do so, the board may appoint another director to fill the vacancy until filled by electtion."

Hi Joe,

I think the laws in California were changed about two years ago and now EVERY Board member position must be voted on EVERY year.

My HOA used to have staggered two year terms, where three positions were elected one year, two positions the next. Now all five are elected every year.

Hi Joe,
Get the Davis-Stirlings Condominimum Blue Book. It has all the laws required plus read your bylaws and cc&rs carefully. But your annual meeting is when you have your election. The board is suppose to send out a candidate nomination form to all homeowners. I you want to serve as a board member you can send a letter requesting same. Everything you want to know or join must be in the form of a letter.
