Can a HOA run without a president? Our president resigned about 7 months ago(having a baby did not have time) and we still do not have one. I know we have a secretary,treasurer, and possibly a vice president she was wanting to resign too, not sure if she did. So with that said can this HOA still operate with out a president? Thanks M. Blakeney

Yes - but it's not a good idea. There needs to be a "point man (or woman) for the organization.

What do you mean "possibly" a VP.? Any VP should know that he/she MAY be called into the presidency role at any time.

That VP should take over the duties of the presidency, until whatever it says in your bylaws takes place. Some bylaws say the VP moves into the position if vacated, then there is a vacancy in the VP position.

You bylaws should have sections under Duties that outline what officers are supposed to do.

I was saying "possibly" because she wanted to resign too. I am not sure if she "quit" also or if she is still on the board. The board asked everyone if they wanted to join the board and be the president, when the old one resigned, and no one joined.

It sounds like you have a volunteer issue, but what I believe should happen is:

If the president resigns, or the president position is otherwise vacant, I would first turn to the bylaws to see how that position is filled. If the bylaws are silent on the matter, then I would go according to normal parliamentary procedure which says that the vice president automatically assumes the presidency and the vice president's position becomes vacant. Since a board position is vacant, again I would turn to the bylaws to see how that vacancy is filled. Usually, the board can appoint someone to fill the vacant position. Since no one is volunteering, you may have to go around and try to convince someone to serve on the board.

Once the board position is filled, you would then elect someone to be vice president, or whatever else your bylaws require.

Some bylaws allow the position of vice president to be vacant, but I've never heard of allowing the position of president to be vacant. Some bylaws also allow some offices to be combined, such as secretary-treasurer or maybe even president-treasurer.

The office of president should never be vacant. Who chairs your meetings?

You should also try to make sure all board positions are filled in accordance with your bylaws.

The officers of this association shall be a president and a vice president, who shall at all times be members of the board, a secretary, and a treasurer, and such other officers as the board may, from time to time, by resolution create.
That is what my CCR's state under Enumerations of Offices. With that said does that still mean we can operate without a president?

who chairs our meetings?..........what meetings? We have 23/24 houses in our neighborhood and at the last meeting, over a year ago, 8 ppl came to the meeting and this is including the board members! It has always been this way no one cares about the HOA except the board members, nobody ever comes to the meetings. I think the turnout this last time is the most we have every had.( I have lived here as long as the neighborhood has been around)

A 33% turnout would be the envy of most HOAs. At our 2006 A/M, nobody showed 'cept the Prez! 2008 we had the new BOD + 1 other warm body, our 17 other HOs having better things to do.

As others have stated, your docs probably allow for the BOD appointment/ascension of a Prez. But if nobody wants the gig...

Under "duties of officers" in the bylaws it should state that the VP carries out the roles of the president when the president is not there.

So you do have a VP that must now take over the President's role. The "presiding officer" is usually the president's job.

If the acting president is not comfortable with leading a meeting (and some people are not) you should know that anyone can "preside" over a meeting, if it is voted in by majority of the board. It is just a leader for that particular meeting.

Job is to: Call meeting to order; Follow the agenda; Keep the meeting moving along; adjourn.
Secretary takes minutes.

Your elections are in Jan.? You can last until then in which time you MUST have candidates for all the jobs. Get going now to drum up participation.

If you can't find people willing to run, just read the Members some of the information on this site concerning when a judge takes over the HOA because of lack of leadership and abandonment of governance responsibilities.

It does occur to me that Merita is part of his problem. If you have time and energy to post here and ask question that only you can find the definitive answer to, you should ask first, "How can I help?"

Find out what you can find out about your association that you don't know the answers to. You seem to have enough interest there to scratch up a few helpers and take charge. I know we all would be glad to do what we can.
