First let me say THANKS for all your advise with by-laws the last few days.

Here's my next question......reviewing several bylaws (including the sample model our attorney provided)....bylaws state BOD elect Officers.

Our HOA Covenants only mention 'board of directors' however, they do not define BOD duties or that they elect officers. Covenants have no mention of 'election'.

Is this standard ?

As HOA Secretary, I am tasked with drafting bylaws

Unless your documents require direct election of officers (some do) then the people elected to serve on the BOD usually hold a small meeting after the election and select the officer positions that they will hold. Generally the declarations will only state that the Association will be governed by a Board of Directors or Trustees; the minutia governing elections, service, and positions etc. is spelled out in the By-Laws. Think of the Covenants as the what and the By-Laws as the how.

Studies show that 5 out of 4 people have problems with fractions
