My cousin run for one of the three board positions that were open for election five months ago.

At the time for election five home owners (including two of the the board members that their time was up)
run for board positions.

The two board members that were running were able to be re-elected. Another candidate was able to
get the third position.

The first candidate received 19 votes (was re-elected)

The second candidate received 16 votes (was re-elected)

The third candidate received 16 votes (was elected)

The fourth candidate (my cousin) received 15 votes

the fifth candidate received 9 votes

My questions is:

One of the board members is resigning because he just sold his house due to a relocation.

What can my cousin do to be able to fulfill the board of director that is going to resign next week?

I feel that my cousin should be able to get the position based on the 15 votes she received in the last elections.

Kindly give me your suggestions.

Sorry - the elections were over months ago, so the votes don't mean much now.

There should be something in the bylaws about filling vacancies on the Board. Sometimes the Board has the power to appoint a new member. Or an election is called so the Members can vote again. Look in your bylaws.

Your cousin should let the board members know that she is interested in the vacant position, when it becomes available.

Often, the board will look at the last election and see if those people are still interested in serving on the board.

I'm sure your bylaws state how vacancies on the board shall be filled. In most instances the board has the right to appoint someone to fill the vacancy and that person would serve the remainder of the term. Of course the "nice" thing to do would be to ask the person who came in fourth, in this case your cousin, if she would like to be appointed to fill the vacancy. However, the board is not obligated to do this. I'm sure this scenario is not covered in your bylaws! Your cousin can contact a board member and let him/her know her feelings; however there's no guarantee she will be appointed.
