Is quorum met by the amount of votes tallied or by the actual amount of proxies/ballots received when electing officers to the Board? Thanks. -ReneeD

The QUORUM is the number of members who must attend - in person or by proxy (if your bylaws permit proxies) in order for the meeting to be conducted. This quorum figure will be found in your documents. The meeting cannot be held if there is not a quorum of members to validate it as an "official" meeting.

Now . . . suppose you "meet" the quorum, 85 of 100 members are represented. d. When those members VOTE, there is a different requirement that will also be in your documents (bylaws or articles or CCRs) about what it takes to pass a motion or elect the board or officers. Sometimes it is a majority OF VOTES CAST or it can be a majority of ALL HOMEOWNERS. There is a difference.

To amend (change or add) your bylaws or CCRs, there will be a different figure needed for passage.
