During the last board member I requested information about approved invoices not shown to me.
The president stated that my answers questioned the integrity of the board since these invoices have been already approved.
As I disregarded his statement, the president got angry, stood up from his chair and facing me told me "I am watching you, be careful."
I opened the executive session to comdamn the president for threatening a board member during a board member meeting because of the asked questions. The board members refused to vote because they do not wanted to embarass the president.
We have our annual meting in 10 days.
What should be done to condamn and stop this attitude.

You really can't control other people's behaviors, about the only thing you can do is control the way you respond to them.

What was your purpose in reviewing the already approved invoices? Not that it matters, I'm just curious.

Personally, as treasurer, I wouldn't have a problem showing the actual invoices to any board member.

As a board member (were I not treasurer), I'm not sure I would be in the least bit interested in reviewing invoices that had already been approved, however, I would have certainly been taken aback by the response that the president gave.

I would have replied I just wanted to make a note of them for future reference. Why would it be a problem?

Anyway, sorry you have to encounter such tacky comments.

You said in Executive Session there was a vote - What was the motion?

(I am sure you meant you wanted to "censure or reprimand" the president, not "condemn" him, for his remarks.)

It seems strange that the president would get so defensive by wanting to look at an invoice, makes you wonder if something is going on. Do you have someone representing a management company on your board? They could be a go between during some of the problems and you could look into an invoice easily. Our manager would not allow that kind of behavior in our meetings.

Recording your meeting might help curb the presidents threatening ways. It's amazing how people change when they know they're being recorded! We had one board member that wanted the recorder turned off so he could complain about someone personally. We refused and he never comments on something personal now.

I know you are restricted to how people act, but if our president said this to anyone during the open session I would of piped in......... THE STATEMENT AS STATED BY OUR HOA PRESIDENT IS IN NO WAY SUPPORTED BY THE ENTIRE BOARD. THE PRESIDENT'S STATEMENT IS HIS OWN SO PLEASE DO NOT FEEL THAT COMMENT IS FROM ALL OF US!

I do not know about Virginia however here in Florida invoices are part of public records, as is the annual budget, contracts, proposals etc...
Perhaps you could request them this way.
As for the Threat it is unbecoming a professional and a member of the Board of Directors.
You may wish to lodge a complaint with the Commonwealth of Virginia.
And I would also bring it up during pre elections at the annual meeting.

Sounds like your board is not very good, no board member, not even the president should ever speak to anyone like that. The board should insist on a public apology at the next meeting, if not the board should remove him from office. Now, since that won't happen I wouldn't worry about it, if he has that much free time to watch you let him.
