On the board of directors, we have (7) one of them is never at workshops or HomeOwners Meeting. He is not a well person and has been in and out of hospitals. How ever we need a person at the table.Can we ask him(nicely) of course to resign we don't want hard feelings. He should know but some just won't give up and it is making it harder on the other Board members. Out of 5 workshops he attended 2. Well one and a half...

You can ask him whatever you like...I would encourage your board to look at adopting a bylaw related to board member absence so you can replace them in the future without relying on a resignation.

The sad thing is that this old gent probably doesn't think about not being at workshops as important. Does he attend all of the Board meetings? Yes, you certainly can ask him to resign but how offended will he get. Maybe asking him if he feels that he can no longer be present when you guys really need him, is causing him to be too tired or stressed. I dealt with a gent like him and he just did not want to feel unuseful. This is a tough one to handle. Unless he is a real pain, he might feel relieved to have the responsibility taken off of his shoulders.We all know how difficult it is to fill Board positions.

Too bad that there was not something in your bylaws about Board members repeatedly missing meetings (most have a statement)

Ask him to resign from the Board, but head up some kind of committee. He could still be involved in the on-goings of the HOA, report to the Board, and even attend meetings.

I agree. Never make a past president or any other person an emeritus.

Confusion abounds, in regards to power, rights, privileges, etc. attached to this position.

Our board president is making false statements against other board members but the rest of the board does not seem to be able to get this person to stop. The board was unable to have this person resign and unable to vote out of officer position.

Review your documents. Our bylaws state an officer/director can be removed by a majority vote of the members of the Association or if "X" number of meetings are missed, Yours may contain similare language.

If all else fails, there's the petition for removal process. Admittedly a lousy way to go as it takes 51% of members. Why not just bring it up at a board meeting that he's obviously not up to the task any longer and suggest the board have a little "kilyonees" and take the necessary steps to remove and replace the guy through a special election process.

The problem that appears consistent with BODs is that they're typically run by NON-political types (in other words average Joes) who aren't used to making "tough" decisions re: other people.
