I hope I am not sounding to stupid in asking this question....When an election is held if there is a five member board do you vote five times for candidate(s)?...Say their were 8 HO's running, do I get to vote 5 times?....We had only five running and from what I have read there was NO need for a vote at all.....We were told to vote five times..or leave any blank we wanted.

Please don't ever think you need to be excused for asking a (perceived) stupid question. I've always said, no question is stupid if you don't know the answer. :-)

In answer to your question, yes, you vote for the number of positions that are open. In your case, you would vote for 5 candidates; otherwise you may not be able to fill all the vacancies. Whereas it does seem dumb to even vote at all when there are 5 vacancies and only 5 names on the slate; IMO, this is done just to satisfy the formality of voting. On the other hand, if someone was on the ballot who was disliked by a majority of the members, perhaps they wouldn't receive any votes leaving one vacancy unfilled. Boy, wouldn't that send a message?

The number of votes that you should mark coresponds with the number of open Board positions. 15 people running for 2 positions gives you 2 votes. 5 running for 5 positions gives you 5 votes. Of course this should all be on one ballot. If you leave a blank spot or two, doesn't matter either. That is just a non vote spot. And whoever said that because there were only 5 running for 5 positions, therefore you did not need to vote is in error. Your Articles of Inc require you to have a "formal voting procedure" at least it is needed for recording in the annual minutes.
