How do we stop directors from interrupting one another during board meetings? Sometimes it’s chaos.

Set the ground rules before the meeting and stick to them.

1) A Director is allowed to finish their statement before another Director responds.

2) Statements should be limited to 2 min.

3) The President may determine, at their discretion, if the horse has died.

I should add...a condition of board being allowed to hold virtual meetings:

Corp Code sec 7211 (a)(6)(B) Each member is provided the means of participating in all matters before the board, including, without limitation, the capacity to propose, or to interpose an objection to, a specific action to be taken by the corporation.

A competent president is needed.

The president "presides," meaning the president stops interruptions.

Explain to this new director that "sergeant at arms" is synonymous with "president."

He/she won't get it immediately. But planting a seed could be worth it.

A sergant at arms doesn't run the meeting (unlike the president), but can help keep order and ensure the agenda is followed, so that may be why the newbie suggested it. It's not a bad idea, but the problem appears to be your president continues to run meetings his way.

If people are spending most of the time screaming and shouting at each other, they probably aren't paying attention to some of the underhanded stuff he's trying to push through. Or they get so frustrated, he slides in to make a motion that makes no sense and people go along because the meeting's approaching the three hour mark and everyone's tired and wants to go home.

But he's had his way all this time and still the rest of the board does nothing, so I don't know what you want us to suggest. You could say something at the beginning of the meeting about the importance of respecting each other and everyone's time, but will they listen? Or you might ask someone who was there and not a board member to bring it up during resident forum. Maybe it'll hit them that they acted like a bunch of children last time and it's not a good look.

Our bylaws allow for subordinate officers except for president. That would be Asst. Secretary or Asst. Treasurer, since the VP is already the president's substitute. And our docs do not mention a sergeant at arms.

Honestly virtual meetings with time limits for speaking is best, the host can just mute everyone who isn't supposed to be speaking.

Put an interruption jar on the table. Interrupting party has to put $20 and the board divides the money at the end of meeting.
