Well, we had our annual meeting last night.
A quorum was not achieved so no vote occurred.
Per corporate law, this leaves the current board in place.

Prior to the meeting, the Board asked for candidates for the Board and nobody other than the existing board spoke up.

Our CCO (chief complaining officer) was not in attendance but the group copied on the emails were.

Just before bed, I received an email from the CCO asking for a count:

Unfortunately we were unable to attend the meeting tonight. As quite a few people approached me and asked if I would put my name forward for secretary, I did agree.
Understand you couldn’t take an official vote but could you please give me a breakdown of the votes forwarded for each individual.
Thank you.

Any idea what they want?

My tentative response is:

Since there was no quorum, preventing a membership vote from happening, the Board did not ask for ballots to be filled out, did not collect ballots and did not count ballots.
Therefore, there is no breakdown of votes that can be provided.

Thanks in advance,

Tim

Your answer seems fine to me. It also seems that CCO doesn't understand the difference between directors and officers if they want to run for Secretary.

I suspect a person(s) told him they wrote his name on a ballot and he wants to see if they really did. My response would simply the meeting was called to order, a quorum was not achieved and the meeting was adjourned. No HOA business was conducted.

Your secretary should also prepare minutes that say the same thing,

Due to lack of quorum, neither an official vote nor an unofficial vote was taken. Hence no 'breakdown of votes' of any kind is available.

Most importantly, his writing continues to indicate a low reading comprehension level. Do not expect him to comprehend anything you write back. Try not to bang your head against the wall thinking there are some magic words that will make him understand. There are not.

I noticed that I didn't include an update on the surveys.

The Membership still remains divided with an almost 50/50 split on revisiting amending the Bylaws.
Therefore, the Board will table that one another year and work on informing and educating the members.

It was almost unanimous concerning having, serving on or funding a social committee. Resounding NO!

Thanks for the inputs. I think it's a good idea to include "neither an official nor an unofficial vote was taken"
