Our annual meeting is held in August each year. In August of 2024 we held our election. All 5 seats were up. 5 were elected. The new hoa board has only served one year so far. Today, I received a letter that this board is now holding our annual meeting and election this December 2025. My question is, are they allowed to change our annual meeting date that should be August 2026 but now holding it December 2025? We are paying for another election 1 year and 4 months later? I should add that 4 have quit and been replaced since last years election, meaning some will have only been on the board a few months before the new election. I’m so confused.

Do your governing documents specify when the meeting should occur?

Ignore the fact that some Directors were replaced. Those who replaced them would only serve the remainder of the term of the individual they replaced.
So, if all seats only serve 1 year, then all seats would be up for election.

No, they can’t just reschedule the annual meeting if your documents state August 2026. However, your community has a bigger problem – it appears the replacements have announced they also want out, so four are needed right now. Decisions on association issues must be made and paying the association’s bills must continue – you can’t just leave that to your property manager. Be honest – what’s happened to prompt these folks to quit after a year? It could be professional or personal commitments, which is normal, or things are more screwy than they realized and they don’t want to be left without a chair when the music stops.

As Tim noted, whoever’s on the board would normally serve out the term of the people they replaced, but the board should be able to appoint people to those slots – read your documents to see if this is addressed.
Suggest that the board ask for volunteers (starting now). Perhaps the current group can be persuaded to stick around until August, which would give other homeowners a chance to observe things to see if they’d like to run for a spot.

The board should also be candid and tell the community what’s at stake if no one steps up (that would include YOU). Read some of the older conversations on this website about receivership – it’s not pretty, and that’s exactly what could happen if your community doesn’t have a board to run the association.

The only one that remained us the president, so she is the common denominator as to why they all left. One only lasted 3 weeks, however they positioned were filled so there are 5 but its has only been a tear since our last election so technically some have only been on board for a few months. Our docs don’t state August 15 for annual but it has been that date for 20 years I’ve lived here. Our docs state it must be the same date each year and that our elections are every 2 years. This election will be 1 year and 4 months and that I have a problem with. We are in California so these elections cost money!💴

Probable some law against it in California, but in most states unless the declaration provides a month for an annual meeting it is at the discretion of the board.

Interesting your documents have the annual meeting on a Sunday in 2027.

We’ve had the same issue. I believe the term date supersedes the election date when you consider your docs and the codes together D/S and Corp Code.
