For clarification/understanding since I can not find clarification in our By Laws.

We have 6 board members but only 4 officers (Pres, VP, Sec, Treasurer).

For day to day items/decisions, like which company will cut the grass, who votes, the 4 office holders or the 6 board members?

Each Board member was voted in by the members of the HOA, therefore each Board member has an equal vote.

Only the six people serving as board members vote. If they happen to hold office as President, secretary et cetera, this is not relevant to who legally has the right to vote.

If you want to know what part of the law says this, ask. If you want to know what part of your bylaws say this, then quote verbatim everything the bylaws say about the board's duties.

As other posters have mentioned, the board makes decisions on how to the association operates, so all directors vote on those decisions. Each officer has duties, hopefully described by the governing docs, that specify what their responsibilities are.

That is not an issue, we have descriptions of their duties, there is just nothing in there that speaks to who on the board votes for day to day decisions! I assumed it was everybody and that appears to be the consensus as well.

I hope you are not suggesting that all officers are also, automatically board members.

Officers are simultaneously board members only if the the board appoints people who happen to be directors to also serve as officers.

The two roles (officers and board members) are different.

Also: Usually the bylaws and/or state law have verbiage that says the board may delegate the execution of certain responsibilities.

All of this is based on Corporate law.

Per MI 450.2501:

(1) The business and affairs of a corporation shall be managed by or under the direction of its board, except as otherwise provided in this act or in its articles of incorporation. A director is not required to be a shareholder or member of the corporation unless the articles of incorporation or bylaws so require. The articles of incorporation or bylaws may prescribe qualifications for directors.

Per MI 450.2531:

(4) An officer, as between himself or herself, other officers, and the corporation, has the authority and shall perform the duties in the management of the corporation provided in the bylaws, or determined in accordance with a resolution or resolutions of the board that is not inconsistent with the bylaws.

For your specific question, the Board of Directors would make the decision on contracts.
