I am confused in it says in our by laws that any Director can start a committee but it has to be approved by the Board. For some reason our President says I can't stary a "policy committee" without his approval. It is clear in our Documents that the President is not the sole person who can approve a committee. He is the member of a group of Board members who, yes, need to approve it. What can I do about this? Thank you.

Have the section of the bylaws ready and present it at a board meeting.

A law student, he was working with landlord/tenant cases, once told me that he would use this tactic when bringing things up -

Law student - The tenant is claiming xyz
Landlord legal - well, we don't have to do that.
Law student - you may be right, I am new at this. Lets take a look at the law
Law is read
Landlord legal is put in their place.

Using that tactic:

you - I propose we start a policy committee
President says you can't do that
You - You may be right, I haven't studied the documents fully, I have a copy here, lets take a look
