These by-laws may be altered, amended,or repealed and new by-laws may be adopted by a majority of the Directors present at any regular meeting or at any special meeting. Question is how do you interprete this writng?

BruceC2: The bylaws are officially recorded, just as the Declaration is, as well. The quote you have posted states the Bylaws may be changed, expanded upon,and new bylaws adopted by a majority of Directors.....
If this statement is the ONLY REFERENCE to changing the Bylaws, then it states the Directors (only, without membership) have the power to do it.

However....I would seek elsewhere in the Bylaws IF IT STATES BY WHAT PERCENTAGE OF MEMBERS it is necessary for a vote to PASS on a change or amendment to the Bylaws.

Your quoted bylaw amendment gives the Board the power to amend, recind, or adopt new bylaws by a majority vote of the Board, so I'm not sure why there would be anything else in the same bylaws giving any other members that same power.
