Can an HOA board be considered constituted without having an organizational meeting?

Check your documents.

Again, Daniel, as Shelia advises, read your morning documents especially your Bylaws. Your "board" consists of directors. If they were all legally elected in accordance with your bylaws your Board is legally d constituted or formed. The purpose of an "organizational meeting," which also might be discussed in your Bylaws is for the Board members to choose officers. Your Bylaws will tell you the names of the officers and whether any must be directors and whether they all must be Owners.

did an attorney help you with the recall? If so, they can answer these questions and show you where ti look in your Bylaws.
