Does anyone know if Townhome bylaws in Mn have to be signed and if yes, by whom?

When one buys into an Association they are agreeing to abide by all docs such as Covenants, Bylaws, Rules & Regulations, etc. even if they do not "remember" signing such, they did agree. Often all docs are combined in one and are called different names.

Are you trying to determine if the bylaws are authentic?

Are you talking about bylaws that are an amendment to the original bylaws?

Are you talking about bylaws that allegedly are the corporation's original bylaws?

If you are talking about amended bylaws, please give the procedure for amending that your bylaws provide.

Is this a condominium subject to the Minnesota Condo Statute? Check your Declaration and Articles of Incorporation to see what statutes apply.

Is this a HOA subject to the Mn HOA statute (if it exists)?

I expect that when you say bylaws, you mean the deed restrictions (also known as covenants).
These would be signed by the board OR just the secretary (depending on the requirements of your State).
These would be filed with your city or county.

If you truly mean the bylaws (a separate document from the covenants), then these are adopted by the board and might only be signed by the secretary, the president or the entire board. The bylaws may or may not be filed with the State.

It should be noted that, often, the copies provided to owners/residents might not have any signatures.

If you mean Bylaws, in CA, the Secretary must sign them and nay amendments. In my HOA and I think in most in CA, owners vote to amend the Bylaws.

In CA, the board president and board secretary must sign the new and amended CC&Rs (Covenants, declaration, deed restriction).

Sometimes, Owners get Bylaws and Rules & Regulations mixed up. The latter can usually be changed, added to by the board of directors and need no board member signature.

Our bylaws had the following statement at the end of the document; " The undersigned, the Secretary of ------Association, hereby executes these Bylaws, and certifies tht they were adopted by the Board and the vote of the Owners as required by the Original Bylaws." In our case the Board secretary was the only person to sign.
