Hello - We have one board member spot expiring. I sent out the notice and asked for people to nominate candidates. The deadline has passed and no candidates were submitted. The current board member is willing to do a second term. Do we still need to mail out a ballot with the one candidate?

Read your Bylaws. Ours allow nominations from the floor so until the Annual Meeting where we call for candidates, we do not know who is running. That said, if we were to get only the amount needed for a BOD of 5, as in two for two open positions, we would not hold an election.

It's probably in your Bylaws, Stacy, not your CC&Rs. If they allow nominations form the floor at the Annual meetings, then, yes, you probably need to send out ballots.

In CA, we must even when the number of candidates is the same as the numbers of openings for directors on the board as we have now. So there might be something in your state statutes, which sure could be different than CA or VA.

(CA is changing ours on that point)

I say if nominations are allowed from the floor, then any "stuff" sent out ahead of time is a waste of effort and postage. Yes nominations from the floor can be a "cluster kiss" and they rarely get elected, but if allowed then go with it. Our MC runs our election, with appointed owner overview, but let him earn his money.
