A vote online has been requested to all board members for an additional work (9,5% on the top of the previous work done) because few homeowners complained that they have been disregarded during a maintenance survey (made in the presence of a board member).
As it was not an emergency and as all these owners inquiries have not been provided to the board members as well as the cost estimate by the company, I did not voted. I asked the preparation by the management comnpany complete information for a new business in the next 2 weeks board meeting.
Even so, the president and a majority of board members went ahead and voted for. The president approved and requestd by email to have the job done.

I do not know if it's appropriate to vote by email, which is not a record on minutes.
I also find the attitude of this president and these board members inappropriate (not credible.

I would appreciate any comments and advices to have this board redirected and fonctionning adequately.

Virginia law requires that any actions taken outside of a board meeting be unanimous and in writing. Our board has done a couple email votes, but only to expedite a vote and to not have to call a special meeting. Don't remember the specific code offhand. This is no way to hide a vote, because it is a part of the official record of board actions. The secretary should be filing everybody's vote.
