Hi Everyone. We're having our annual meeting this week. Proxies were sent out, as usual. But we have NOTHING that we're voting on and there is no election of officers, since only the current board ran. Since we're not voting for anything everyone threw away their proxies. Now our property manager says we have to have a quarum (51%) of people in attendance OR their proxies in order to hold the meeting. Is this right? (Florida)

Yes Anna,
That is correct. You are required per your Incorporation to have the meeting and to follow your requirements as for quorum, etc. You need minutes, etc to consider yourselves in compliance with your Incorporation. SORRY!!!

Anna, I would presume your manager knows what your By-laws state is the percentage required for a quorum at a members meeting. Often proxies are the only means by which an HOA can achieve a quorum in order to hold a members meeting.

I would do everything I could do to have a meeting. Look in your documents about Board Emergency meeting or actions without a meeting. A record has to be made, agenda made and followed, minutes taken and elction help and recorded. It appears you have more problems than just no one running for the Board, that should never happen and it won't if there is interest. You PM is suspect for not advising you of this earlier, the Board is suspect for not paying attention and your president is suspect for not doing what is right. Don't let this happen to your home, it will get worse.

Thank you everyone for your replies. Let me be a little more specific so it doesn't appear that we are total idiots. We DID plan to have an annual election. We have the agenda posted; etc. The meeting is a "go". We've had one every year. The property manager mailed the notices for the annual election. A proxy was included with the notice YET there was an attached letter stating that would be no election of officers as only five people were running for a five-seat board. So people just tossed their proxies. By the way---this will be the last year and the last meeting our property manager will be with us. We fired that company and hired a new one to take over next month.
