Our governing documents say the Board Prez can call a special meeting. When the Board President calls a closed special meeting, can the other Board members overrule it and ignore it? We are five Board members. Two said they will ignore it and not attend. They are telling me to ignore it too?? We’re in Monterey California.

Is this an executive session of the board (which should be entered into from an open session of the board) or is the a special meeting of the membership?

Every individual can make their own determination on what meetings they will or will not attend.
If enough don't attend, there is no quorum and business can not be conducted.

Tim, it’s a special meeting (executive session in between meetings) that our Board Prez emailed us about late this evening. He says it’s regarding a legal issue. He’s asking us to send him our availability by Wednesday to set an official date for this meeting. Two other Board members told me they will ignore it because they don’t want the meeting to happen when I asked them.

This e-mail was sent to all Board members so it’s only a meeting for Board members that our Board Prez called. But at this point he is only asking us to email him our availability and then he said he will send us the official time of the meeting.

Sounds like it's your option.

You know the specifics, we don't.
If you think the issue can wait until the next scheduled meeting, say your not that available.
If you don't think the issue can wait, give your availability and see if a quorum shows up or not.
