I was recently appointed to the secretary position on our BOD. Due to the vacant position before my appointment, the president was preparing the agendas for our meetings. I take my responsibilities very seriously. Our governing docs state the secretary shall create and post the agenda after getting input from the other board members. Our president has stated she wants to continue doing this. How do i handle this without creating bad feelings with the president and other board members?

My opinion - I wouldn't worry about it. Let the President do what he/she wants to do. I'm sure there are plenty of other places where you can volunteer your time and effort to make your community better.

I'm with Greg. Leave it alone for now. If you idon'thave a property manager, I think you'll be busy enough being engaged with hometown communication. And write minutes at meetings.

Btw, we constantly see remarks about minutes where ppl. think every word must be in them. That's incorrect. they only should record what was done (motions/seconds/decisions) not what was said (discussion, debate, etc.)

It seems unusual though for the secretary to create the agenda. Can you please cite exactly what your doc says on this topic and which document it is?

Read your Articles of Incorporation that references each positions responsibilities. Most HOA's have a caveat that the President can't act as Secretary. Other positions maybe able to overlap or share. So if your gung-ho enough. Find that reference and mention it.

Actually one of the functions of the President is to set the agenda. The Secretary's roles besides maintaining corporate records is recording the minutes of the meetings.

to agree that leave well enough alone. Our president is a force to be dealt with and i dont want to start off on the wrong foot. She has been doing the agenda for quite sometime because we had no secretary.

In that case, offer your assistance and leave it at that. She's probably done it for so long, she's used to it now, and she may be quite fond of dictating what will be discussed at the meeting. That doesn't mean you should be intimidated - if you want something discussed, say so.

You said the president is a force of nature, but that can be destructive, so take your time and just watch how she does things and how she reacts to questions - or criticism. Always remember, the president is only one vote, along with you, and while it may be easy for some people to just go along, ALL OF YOU are responsible for applying careful thought to association issues and vote based on what YOU think is in the community's best interests. That doesn't always mean you'll win. Never be afraid to speak your mind, but do it in a calm, professional but firm manner and let the chips fall where they may.

-- NormaB3 previously indicated this is a homeowners' association. I will assume it is subject to FS 720.

-- In Florida by my reading, the reason the agenda is a big deal is because the only topics on which the board can take action are those on the agenda. Anything new that comes up at the meeting has to wait for the next meeting.

I'd still like to see the exact wording, Norma. I also think it's a little unusual for officers' duties to be in the covenants. Usually they are in the Bylaws it seems to me.
