I've recently received proxies to sign online for two non-HOA organizations that I'm a member of.

One was through Google Forms; you just clicked "Yes" and typed in your name to submit a proxy.

The other was through DocuSign; you just clicked to sign.

I don't see HOAs doing this; HOAs mostly seem to send actual paper proxies to turn in, by US mail.

Does your HOA use online proxies? If so, have you had a good experience--in short, do people sign them faster than they'd sign paper ones, with fewer hassles?

I completed the Proxy for quorum and ballot for electing three directors, yesterday. Proxy via Adobesign and ballot via ElectionBuddy.

Fast and slick.

Can’t imagine it not being the future standard.

I hope Proxies do not go away. It is a method that helps people counteract bad behavior such as collecting Proxies to secure/defeat Covenant/Bylaw changes, defeat entrenched BOD's, Call for Special Meetings, etc.

And one of the main reasons, is that without Proxies my HOA would not reach Quorum for our Annual Meeting thus no business can be conducted, thus no elections can be held, thus like us or not, we same BOD Members would stay in place.

I do agree Proxies can be difficult to understand and are misused by many BOD's, but this does not make them wrong. It makes those that cannot understand them and/or those that misuse them wrong. Not the Proxy itself.

According to the SC nonprofit Act:

SECTION 33-31-708. Action by written or electronic ballot.

(a) Unless prohibited or limited by the articles or bylaws, any action that may be taken at any annual, regular, or special meeting of members may be taken without a meeting if the corporation delivers a written or electronic ballot to every member entitled to vote on the matter.
...
(c) Approval by written or electronic ballot pursuant to this section is valid only when the number of votes cast by ballot equals or exceeds the quorum required to be present at a meeting authorizing the action, and the number of approvals equals or exceeds the number of votes that would be required to approve the matter at a meeting at which the total number of votes cast was the same as the number of votes cast by ballot.

As I read this, you don't need a quorum to conduct business, the ballot takes care of it.

You can solicit ballots the same as getting proxies.

I don't see any point to proxies.

The same thing is in the nonprofit act of most other states.

I think JohnC77, Jeff means the Assn. doesn't need a physical quorum of humans in a meeting room.

Yes, I overstated it. You are correct that you need quorum to conduct business at a meeting.

However, if the only business is to conduct a vote, then you don't need a meeting or quorum, since the ballots conduct a valid vote without a meeting. The vote takes place by ballot with or without a meeting.
