I am actually looking for a sample election ballot, as well as any information on how to handle same.

We are located in Florida and took over the BOD from the developer last year. We are single-family homes - relatively small at 142 homes. About 15% of these are rentals. Since none of us have ever participated on an HOA BOD before this has been quite a learning experience for us!

According to our CCR's we should have held an election at our annual meeting in June. This was not done as we have only recently realized this. Unfortunately, we have no idea have to proceed.

Does anyone know of any sample ballots? Could we now call a special meeting of residents to handle the election? How do people get nominated? A couple of our officers would like to remain on the board and one would like to leave.

We are down to 4 board members and have a difficult time generating interest in joining. Our President recently resigned due to health issues and our interim President resigned yesterday because he believed he should make all decisions without the BOD voting on any issues.

Per our CCR's we need a 30% quorum to elect new officers. I think we could get that, but just don't understand the whole nominating / electing / process.

I would sure appreciate any help!

I have a proxy form that is generic. There is also a Teller's report which will be important for the people counting the votes. This form satisfys all Florida HOA voting.

Our annual BOD election is coming up, and I've looked at our bylaws and proxy info within FL Statutes Ch 720. It's my understanding that a proxy is essentially like a Power of Attorney to authorize another name to make a vote on someone's behalf and establish a quorum at the meeting.

Our bylaws state:
-Nominations may also be made from the floor at the annual meeting
-The BOD election shall be by written secret ballot
-At such election the members or their proxies may cast....
-Proxies shall be in writing and filed with the Secretary
-The election MAY be conducted by mail

We are still waiting for proxies/notification in the mail. Should we be expecting a separate proxy AND separate ballot in the mail? Should we be clearly notified if the election this time is ONLY being done by mail? How can it be if bylaws provide nominations may be made from the floor? I think we homeowners are unclear on the process, and actually suspect the 2009 election may not have been handled correctly. I spoke with another neighbor and we did not receive anything in the mail this time last year; however, a BOD was selected prior to Jan and filed on www.sunbiz.org. We want to be ready to address any election issues immediately. To confuse matters further, our current BOD (whether legit or not does not have a Secretary appointed. Secretarial duties have been performed by an independent contracted Office Manager...who was in place before her husband, the Treasurer (who is Nominating Committee Chair and running for President), was placed on the BOD.

So many issues and still waiting for the election/proxy mail to come in. How best to proceed with election and is there a conflict of interest that needs to be addressed immediately?

On the surface it sounds like you have a lot of problems. First and foremost these problems are long standing so I see no need to rush in and start swinging. I suggest you make this a separate post, make sure you read the info here, use the search feature on this page about "proxies", then post your situation. Try to generate specific answers to specific problems. Don't expect anyone to give you anything but opinions. It looks like your association is in for a rocky ride, question is when it happens.
