We currently have 4 board members and a vacant position due to a member resigning. Our documents allow the position to be filled by appointment with a majority vote by existing Biard members. I question what would happen if the vote is a 2-2 split? Does it simply fail and remain vacant? Our documents require an odd number of board members.

If you have a split vote, then the position remains open unless your bylaws say something different.

Then in an ideal HOA, the two sides would come up with a compromise choice.
