Hi everyone this is just a follow-up from my last post that I started. I just recently got a copy of our our bylaws. Within our bylaws it states that there are four officer positions. We have three board members in our community. I spoke with the owner of my management company prior to him sending me the bylaws he insisted that they sign all contracts and we do nothing pretty much just vote on certain things and that's it. However our by laws state otherwise. FYI the owner of our management company created the by laws he was the developer.

My sense is that there is a lack of trust between you and the developer and you're not quite certain as to just where you stand. If I was in your position, I would seek the advise of an attorney, or at least a CAM, so I could speak intelligently with the developer and then go from there.

Unless under declarant control, tell him you owners will run the HOA the way you want and fire his a$$.

There is a bit of lack of trust. I slightly trust but I believe in verifying. I have noticed on several occasions since we've been a residential run association our management company has purchased items without our approval. I asked if a document could be sent out in colored ink and the MC said we needed to vote for that. However, they recently replaced a resident fence without our approval a week later.

It's been 3 years since we have been a residential run association. The other two members are oblivious to what is going on. At our last annual meeting the board of directors were told to sit in the audience with the members we couldn't even sit at the table. I truly feel that they think they are still in control and don't understand their position.
We have one board member that has missed two consecutive board meeting.
