Our Bylaws allow min of 3 max of 5 board members. President, vice president, secretary, and treasurer. Can we name the 5th board member past president. So that we always have a old board member on the board?

You use the term last president when, in fact, he or she WAS president. Otherwise, that person can simply be a member at large. Why do you think it's important for that board member to have a title - it doesn't change his/her duties As listed in your documents

As for having an "old" board member, can't you and everybody else keep track of when the board members were first elected so you know who's in his/her first term vs. a third or fourth?

I'm sure I'm not using the correct terminology here I apologize. I was part of a board where the president stepped down to what they call past president position so that you always have a past board member on the board. Someone that was in the know to help guide a new board. Our bylaws state board members are elected annually so you may not always a vice president stepping into the president position.

I think the question of structure could be answered by Concho posting that component of their Bylaws.

The titles, other than the usual four officers, seems odd.

Board members who aren't officers are simply called directors in my HOA too based on our bylaws. I think in some "directors at large" might be used. But don't go making up office titles unless you bylaws permit it.

Our do, but we've never needed to appoint, say, a officer called a "parliamentarian."

But something isn't clear to me, Concho. Are you sayin your board purposely appoints ex-presidents to your board to fill vacancies or to bring your number up to five?

The President, VP, Secretary, and Treasurer are Officers, not "board member" titles. Usually all Officers are also Directors (board members) but not all Directors are necessarily Officers. A director who holds no office is just that: a Director. If your Bylaws permit "auxiliary officers" (my HOA's Bylaws do) then the board can call those officers whatever they want, usually something like "Assistant VP", or "Assistant Secretary", etc. Something like "Past President" sounds like a courtesty title with no real function. If it was me, I'd try to amend the Bylaws to get rid of that title. It sounds like something that will only create confusion.
