We have obtained the quorum with our petition to request a special meeting. The letter should be mailed to our board shortly.

The purpose of this special meeting is for the removal of board members the community chooses to remove. However, once the special meeting is set, we need a proxy and nominees to be sent to all lot owners in case they decide to set the date within 10 days.

I was wondering what the content should be or samples.

Lon, the petition to call a special meeting to vote to remove board members can include "and elect directors to complete the term of each director removed". In many states you can use a non directed proxy (example below). You also need to line up candidates to be nominated and voted on to replace those directors removed. This can all be done at the same meeting.

PROXY for the Special Meeting of the Homeowners of ________________ (name) Homeowners Association, Inc. on ____________(date)

I, the undersigned Owner of the property at ______________________________(address),

City, State hereby appoint _____________(name) as my proxy with full power of substitution, to vote on my behalf in respect to removal of directors and election of replacement directors at the Special Homeowners meeting on ______ (date) and at every adjournment thereof, to the same extent and with the same powers that I would be entitled if personally present.

This proxy shall be void if I or another Owner of this property is personally present.

Roger, How would we put the nominations for the replacement of the Board members in the Proxy without confusing everyone?

Lori, names of candidates are not be included on a non-directed proxy. If there are no board members when the notice is mailed you can include the candidates names; a ballot to vote on named candidates or any other owner in good standing; a directed proxy which would include the names of the candidates an owner wants their proxy to voted for (unless a secret ballot is required); or you could simply have nominations from the floor at the meeting and vote in person plus non-directed proxy; or a combination of the above depending on what voting procedures your bylaws and state laws allow.
