Question on voting new Board

Forgive me but I could not find this specific question when searching this topic. I realize that normally all elections for board members usually occurs at the annual meeting. However, if CCR's and by-laws don't specifically state that the election of a new board is required to be done at the "annual" meeting can that election take place at a special meeting called specifically for the purpose of the election?

Oh and why would we allow for nominations at that meeting without knowing before hand who was running for the board?

Just reviewed the CCR's and it does state the elections are to be held at the annual meeting (sorry), however, what happens when the whole board resigns? Can't a special meeting be called to vote in new board?

Correct - bylaws only state how the board is run, how they vote and when meetings can be called - nothing about how to run an "election" and no provisions for nominations from the floor. It is believed that when the by-laws were written elections were covered in the CCR's so there is nothing specific in the bylaws as they are pretty generic.
