Our HOA annual meeting is scheduled for next month. During this annual meeting we elect 5 directors who in turn, elect officers. Typically the directors also serve as officers. Our community is made up of 18 homes located in middle TN. The current board has been place for 2 years. The board sent out a letter requesting interested parties to complete the enclosed BOD nomination form if interested in serving on the board. The response was again zero nomination forms returned. The current board members are willing to serve another year. Since there are only 5 residents willing to serve and all are current directors, is there a need to have an election? There can only be one outcome which we already know. There are other discussion topics and the board plans to have the meeting. Just wondering about the election. Thank you!

The answer will be in either your Bylaws or State Statues.

Our governing docs allow for nominations from the floor, so an attempt at an annual meeting should be made if yours do too. If a quorum is not met and the election can't be held, current directors would stay in place.

We had this happen in Ca. and we used the term "Election by Abstention". Noe election was needed and the notice was just sent to the HO's.

In California, unless your Bylaws or required Election Rules spell out the elimination of write-in candidates or nominations from the floor and proxies, then you need to go through the motions.

A 5 person BOD for 18 homes is overkill. I suggest a 3 person BOD if the Bylaws allow such.

Agree, having 5 members on the board for such a small HOA is overkill. Unfortunately, the restrictive covenants require a 5 member BOD.
