Our HOA By-laws require a 2/3 approval of owners either present or by proxy at a meeting called specifically for this issue. Can we develop a proxy form that includes not only the proxy but also a spot to list how the person signing the proxy wants the person holding the proxy to vote? Thanks in advance.

Our lawyer drafted up one that gave the rights up to go to a "special meeting" to cast a vote. That means that we could avoid a special meeting and go door to door to collect votes. So it was 2 signatures. 1 for agreeing to give up the requirement/right to go to a special meeting and then 1 for the vote itself.

Thanks! I actually really like that idea. We have one owner who likes to go and gather up as many proxies as humanly possibly and she managed to defeat our last vote for a management company on her own. Very frustrating!

Yes. It's called a directed proxy.

attached is an example.

Hope it helps.
