The election of five board members will be terminated on 1 October. The one gal who was president will be elected again plus four totally new members. The next Board meeting is l November. Thus... in that month after the election and the meeting scheduled for l November... who is in charge of the HOA Board? The one gal because she was president? or no one.?

In CA, we're supposed to have an open board meeting aSAP after the election, where the board elects its officers. This also is in our bylaws. We do ours the same night and it's called an Organizational Meeting. We also set the regular meeting schedule for the following year, e.g., last Tuesday of the month, 5pm.

Do your docs or OK state laws say anything about this, Alex?

IMMEDIATELY after the new directors are elected they should have an organizational meeting to appoint the new officers from amongst themselves.

Their appointee chairs the next operational meeting.

It is typical to have a meeting immediately after the annual meeting to select officers and I would recommend that. As mentioned above, at least one state requires this but I suspect most states do not. I know it's not required in Texas.

If that doesn't happen, I would say the current president would be president until replaced. It doesn't matter in most cases since no one is "in charge" of the board. The only action the president can normally take outside of a meeting is to call a special meeting.

Since you have a quorum, you can proceed to appoint officers. You might check with the two who'll be absent, if you think one or both would be good in certain officer roles, to see if either or both would like to serve. If yes, then go ahead and elect them at your organization meeting.

I think this has happened with your previous posts, Alex. Even when asked, as I did, you don't seem to read your bylaws or other documents.. I believe you've been on the board for quite a while, yes?
