Hello everyone, I'm from Brooklyn, NY.

I sit on a board of nine Directors. We currently have five active Directors. It is time for our annual elections and only five people are running for the eight vacant seats. Do we need to have an election or can we just appoint the candidates that are running? Your assistance will be greatly appreciated.

You should hold the election and accept nominations from the floor for the additional vacant seats. If you can find people willing to accept an appointment, they should be willing to stand for election.

Sorry, I misunderstood your original post. You can elect by show of hands or acclimation if you have fewer candidates than seats, but you should always hold the election.

Election statutes may be different in NY than in TX, Linda.

A "show of hands" would never be permitted in CA, for instance.

I'm curious, why are so many seats coming up for election? Do you have only one-year terms for directors? Do your Bylaws all for staggered terms, by chance?

You must notify people that there will be a BOD election at the Annual Meeting. Come the Election time at the meeting if there are only enough or less then needed willing to run, those running can be appointed and the actual election will be required. Only need an election when there are more running then there are open spots.

Also a BOD of 9 is quite large. I would hope hundreds or homes/units, multi buildings, large buildings, complex infrastructure, etc.

Check your state statutes as they can vary considerably from state to state. For example, in Florida, all five candidates would automatically be on the board. No election would be required in your case.
